This notice is issued by the Organisation for Responsible Businesses Ltd.(ORB) company number 6830936, registered in England, registered address 84 Wimborne Road, Southend-on-Sea, Essex SS2 4JR.
This notice applies to the entire contents of the Websites under the specific domain names www.orbuk.org, www.orbuk.org.uk, www.TheResponsibleBusinessDirectory.co.uk and any other domain names which are owned by ORB, correspondence by e-mail and telephone conversations specifically relating to the content of the web sites, and terms and conditions of membership of ORB.
Using these Websites indicates that you accept these terms and conditions regardless of whether or not you have taken the questionnaire, applied for membership, or taken any other action within the site.
These terms and conditions may be updated at any time without prior notice. It is the users` responsibility to ensure they are familiar with the most recent legal notice.
Please read these terms carefully.
1.1 By accessing any part of the Websites, you shall be deemed to have accepted this legal notice in full. If you do not accept this legal notice in full, you must leave the Website immediately. 1.2 Most areas of the Websites are accessible to non-members without the need for registration. Certain areas can only be accessed by registered users; further areas are only accessible by members.
2.1 ORB aims to keep all information on their Websites up to date, error-free, free of viruses and other harmful components, but does not accept any liability whatsoever for any loss caused or deemed to be caused by anyone using these Websites; or reliance on any information within these Websites, other than anything that cannot be excluded under English Law specifically a) death or personal injury caused by negligence; b) fraud; c) misrepresentation as to a fundamental matter; or d) any liability which cannot be excluded or limited under applicable law.
2.2 Views, opinions and information on the Websites are not necessarily those of ORB. We accept no responsibility for materials and content supplied by third parties.
2.3 ORB does not accept any liability for the content of any third party websites visited via links from the Websites and does not endorse or make any representations about third party websites unless specifically stated otherwise. If these links are used you are no longer on the ORB Website and you access the third party website entirely at your own risk.
2.4 Every effort has been made to ensure these terms and conditions adhere strictly with relevant provisions of the Unfair Contract Terms Acts. Any specific terms found to be unlawful or otherwise unenforceable shall not invalidate any other terms and conditions of this contract.
3.1 You are permitted to print and download extracts from the Websites for your own use on the following basis:(a) no documents or related graphics on the Websites are modified in any way or used separately. Any copies so produced should state "taken from [domain name]as an extract only."
3.2 Unless otherwise stated or expressly agreed, the copyright and other intellectual property rights in all material on the Websites (including but without limitation The Questionnaire, Responsible Business Template, The Responsible Business Directory, photographs and graphical images) are owned by the Company or its licensors. For the purposes of this legal notice, any use of extracts from the Websites other than in accordance with clause 3.1 for any purpose is prohibited. If you breach any of the terms in this legal notice, your permission to use the Websites automatically terminates and you must immediately destroy any downloaded or printed extracts from the Websites.
3.3 Subject to clause 3.1, no part of any ORB Websites may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without the Company's prior written permission.
3.4 Users of the site may share the articles and information contained therein by providing appropriate and bona fide third parties and business networking sites with URL links to relevant pages.
3.5 Any rights not expressly granted in these terms are reserved.
4. Service access
4.1 ORB will not be held liable for any period during which the Websites are inaccessible. Access may be unavailable without notice for maintenance or reasons outside the control of ORB.
5. Visitor material and conduct
5.2 Users are prohibited from posting or transmitting to or from the Websites any material: (a) that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience; or (b) for which you have not obtained all necessary licenses and/or approvals; or (c) which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party, in any country in the world; or (d) which is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data).
5.3 You may not misuse the Websites (including, without limitation, by hacking).
5.4 The Company shall fully co-operate with any law enforcement authorities or court order requesting or directing the Company to disclose the identity or locate anyone posting any material in breach of clause 5.2 or clause 5.3.
6. Links to the ORB Websites
6.1 You may create links to the ORB Websites from a site owned by your company providing that website does not contain offensive or distasteful content, or otherwise fail to comply with all laws and regulations. Authorisation must be obtained for any links that are not purely textual. The relationship with ORB must not be misrepresented and there should not be any implied endorsement of any products or services except as specifically agreed in the Membership Terms and Conditions.
6.2 ORB expressly reserves the right to revoke the right granted in clause 6.1 for breach of these terms and to take any action it deems appropriate.
6.3 You shall fully indemnify the Company for any loss or damage suffered by ORB for breach of clause 6.1
7. ORB Questionnaire
7.1 Copying, reproduction or any other use of the ORB Questionnaire is strictly prohibited without express permission from ORB.
7.2 Users must register their key business details in order to access and take the Questionnaire and must provide true, accurate, current and complete information about their branch / company as requested throughout the Questionnaire..
7.3 Taking and passing the Questionnaire does not infer any rights. All businesses must make "The Pledge," apply for membership and make the agreed payment before being granted any rights of membership, including but not limited to the use of the ORB logos.
7.4 Registered Users of the site should not share their password or allow anyone else to access their account without specific permission. Additional authorised users may be added by the registered user and they should use their own allotted password.
7.5 Users` responses to the Questionnaire are not publicly available and can only be viewed by the user`s registered users and employees of ORB.
7.6 Information provided by the Questionnaire may be collated and used anonymously for statistical purposes.
8.1 All (standard) members must first pass the ORB Questionnaire and comply with the terms set out in 7.1, 7.2, 7.3 and 7.4 above.
8.2 ORB reserves the right to refuse any application for Membership. All refusals will be considered by the directors and their decision will be final. Providing the applicant has not made any false statements, membership fees paid in advance will be refunded.
8.3 Any Member answering the Questionnaire untruthfully, or providing any other information that is not true, may have their Membership information removed immediately from the website and their Membership cancelled. In such instances, all ORB logos should be removed from websites, stationery and vehicles within 30 days. No refunds will be paid to businesses that have had their membership cancelled under these circumstances.
8.4 Members' content on any ORB Websites, either posted by the Member`s registered user or provided to ORB specifically for posting on the Websites, remains the Member`s property, but by providing such content the Member grants ORB a non-exclusive, royalty-free license and sub-license to use the content in any media throughout the world without restriction.
8.5 Membership content posted or provided for inclusion on the Websites, including but not limited to directory entries and case studies, will be published at our sole discretion and we are entitled to edit, make additions, deletions, or refuse any entries.
8.6 Members breaching the terms of membership and / or acting in a manner that is likely to bring ORB into disrepute may have their Membership revoked with immediate effect without any refund of membership payments. The directors` decision will be final.
8.7 Any Member bringing ORB into disrepute shall indemnify ORB for any loss or damage suffered.
8.8 Prospective members completing their membership application online are deemed to have read, understood and accepted the Terms and Conditions.
8.9 Prospective members completing their application by the telephone process will receive a link to the Terms and Conditions in their membership confirmation email. They will then 48 hours in which to read the Terms and Conditions and may, within that period, cancel thier membership without penalty.
8A Membership Cancellations
8A.1 Members may cancel their membership within seven days of their first payment and receive a full refund of any membership fees paid. Members are responsible for cancelling their RBSWorldPay recurring payments.
8A.2 Subject to clauses 8.1 to 8.7 and clause 8A1, membership is for a minimum of twelve months after which period one month's notice of cancellation is required. Members are responsible for cancelling their RBS WorldPay recurring payments.
8A.3 Cancellation requests should be made by e-mail to email@example.com.
9. Directory Entries
9.1 Only fully paid-up bona fide Members will be included in The Responsible Business Directory.
9.2. Any Member in arrears or otherwise breaching any terms of membership may have the directory entry removed immediately.
9.3 All directory entries are subject to the terms of Membership.
10. Associate Membership
10.1 Associate Members must be able to provide the services and / or goods they are offering to ORB Members in a professional and ethical manner.
10.2 Associate Members belonging to any professional bodies must ensure their membership and accreditations are current.
10.3 Private companies wishing to be included as Associate Members must first apply for (standard) Membership.
10.4 ORB reserves the right to refuse any application for Associate Membership. All refusals will be considered by the directors and their decision will be final.
10.5 Associate Members providing goods and / or services at a level deemed to be inadequate may have their Associate Membership revoked with immediate effect. Any membership payments paid in advance will be refunded.
10.6 Notwithstanding 10.5, Associate Members breaching the terms of membership and / or acting in a manner that is likely to bring ORB into disrepute may have their Associate Membership revoked with immediate effect without any refund of membership payments. The directors` decision will be final.
10.7 Any Associate Member bringing ORB into disrepute shall indemnify ORB for any loss or damage suffered.
11. Advertising and Sponsorship
11.1 Acceptance of any application for advertising or sponsorship is solely at the discretion of the directors.
11.2 Advertisers and sponsors are responsible for supplying accurate copy, checking any proofs supplied by ORB if applicable, and ensuring all links are correct when the advertisement is published. No refunds will be made for any period where inaccuracies are displayed or links are not working.
12. Law and Jurisdiction
These terms and conditions and the relationship between users and the Organisation for Responsible Businesses shall be governed by the Law of England and Wales and in any dispute, users agree to submit to the exclusive jurisdiction of the Courts of England and Wales.
